Adani Ports to acquire Jaypee Fertilizers for Rs 1,500 crore under JAL resolution

Adani Ports and Special Economic Zone Ltd (APSEZ) announced on Thursday that it has entered into a definitive agreement to buy Jaypee Fertilizers & Industries Ltd (JFIL) for ₹1,500 crore, pursuant to the NCLT‑approved resolution plan for Jaiprakash Associates Ltd (JAL).
In a regulatory filing, the Adani Group firm stated it has signed a share purchase agreement with JAL to acquire 100 % of JFIL, the holding company of Kanpur Fertilizers and Chemicals Ltd (KFCL).
The deal would grant APSEZ indirect control of KFCL, which holds roughly 243 acres of industrial and commercial land in Kanpur deemed ideal for a logistics park and warehousing complex, according to the filing.
APSEZ said the transaction supports its strategy to bolster inland logistics and expand service offerings across north India.
It also advances the company’s goal of growing its multi‑modal logistics park (MMLP) footprint from 12 to 16 sites and nearly quadrupling warehousing capacity by 2031.
The purchase is being carried out under the approved resolution plan filed by Adani Enterprises Ltd for the indebted JAL, with APSEZ serving as one of the implementing entities.
Completion is anticipated on the effective date of the resolution plan, likely within 90 days of the NCLT approval issued on March 17, 2026.
Notably, the Competition Commission of India cleared the deal in August 2025, and the National Company Law Appellate Tribunal (NCLAT) endorsed the resolution plan in May 2026.
Separately, Adani Power announced it has signed definitive agreements with JAL to acquire a 24 % stake in Jaiprakash Power Ventures Ltd (JPVL) and the 180 MW Churk thermal power plant in Uttar Pradesh.
Adani Ports shares climbed 1.24 % on Thursday, reaching an intraday high of ₹1,795.50 on the BSE.
