TVS Motor Company is set to acquire a 4.9% stake in Jana Small Finance Bank for ₹193.3 crore, reflecting the TVS Venu group’s wider push into India’s financial services sector.
TVS Motor Company announced on Monday that it will purchase a 4.9% stake in Jana Small Finance Bank for ₹193.3 crore, as part of the TVS Venu group’s broader effort to strengthen its footprint in India’s financial services.
TVS Motor’s investment committee gave the green light to buy 51.6 lakh equity shares from Jana Holdings via a share purchase agreement, as disclosed in an exchange filing. The deal is slated to close within three months, pending standard conditions.
In a separate move, TVS Venu stated it aims to secure up to 9.9% ownership in Jana Small Finance Bank on a fully diluted basis, using a combination of primary warrant subscriptions and secondary share purchases, which will incorporate the 4.9% stake earmarked for TVS Motor.
Emphasis on India’s digital financial landscape
This step represents the latest expansion of the TVS group’s financial‑services ambitions, coming after its deal to acquire a 100% stake in PGIM India Asset Management. The group already runs lending operations via TVS Credit Services and Home Credit India.
“We believe that strengthening and expanding India’s financial services is a key driver of the country’s growth,” said Sudarshan Venu. He added that the investment fits the group’s long‑term strategy of supporting institutions that cater to India’s expanding digital financial ecosystem.
Scale and performance of Jana Small Finance Bank
Established in 2006, Jana Small Finance Bank ranks among the nation’s largest small finance banks in terms of assets and deposits. In FY26 the bank posted total income of ₹6,374.8 crore and profit after tax of ₹326.4 crore. It reaches more than 12 million customers via 822 outlets spread across 23 states and two Union Territories, with advances and deposits each surpassing ₹35,000 crore as of 31 March 2026.
The bank’s shares slipped 4.51% to ₹467 at 12:43 p.m. on the BSE.
