Following reports suggesting a potential agreement between Federal Bank Ltd (FBL) and Jana Small Finance Bank (Jana SFB) is progressing, the bank noted on Tuesday that it routinely assesses opportunities for business growth and expansion.

According to Federal Bank’s regulatory filing, the bank states that no material event or information necessitates disclosure under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

Market observers note that Blackstone, a leading global investment firm, plans to invest roughly ₹6,196 crore for up to a 9.99% stake in Federal Bank, suggesting this substantial capital could facilitate a possible deal with Jana SFB.

An analyst remarked, “Where there’s smoke, there’s fire, and a Federal Bank acquisition remains a plausible scenario.”

Federal Bank purchased Ganesh Bank of Kurundwad (GBoK) in September 2006; GBoK, established in 1920, operated 32 branches mainly in Kolhapur and Sangli districts of Maharashtra and the neighboring Belgaum district of Karnataka. As of March 31, 2005, its assets stood at ₹235.44 crore, while liabilities amounted to ₹220.45 crore.

S&P Global Ratings noted that Federal Bank’s preferential warrant issue to Blackstone is expected to bolster its above‑average growth targets of 14‑16% over the coming two years.

The rating agency added that Blackstone‑managed funds have committed to buy a 9.99% stake in Federal Bank via a warrant issue worth around ₹6,200 crore. The bank has already received 25% of this commitment in FY 2026 (ended March 31, 2026), and the remaining ₹4,200 crore is anticipated to be converted into common equity in FY 2028.

Federal Bank retains the option to accelerate the warrant call should its regulatory Tier‑1 capital ratio drop below 13.5%.

S&P Global Ratings believes Federal Bank possesses an adequate capital cushion to handle the impact of acquiring Standard Chartered India’s credit‑card portfolio—slated for completion by end‑2026—and the shift to an expected‑loss framework in FY 2028.

Federal Bank’s shares ended the day at ₹347.30 each, a decline of 2.96% from the prior close of ₹357.90 on the BSE.

Jana Small Finance Bank’s shares closed at ₹570.30 each, down 2.04% from the previous close of ₹581.85 on the BSE.
