Jana Holdings Limited (JHL) and Jana Capital Limited (JCL) are considering a sale of their stakes in Jana Small Finance Bank Limited (JSFB) to generate funds for redeeming the non‑convertible debentures (NCDs) they issued and to settle payments to the NCD investors.
The Bombay Stock Exchange has granted JHL and JCL permission to push back the maturity of their NCDs—amounting to ₹362.5 crore for JHL and ₹1,333 crore for JCL—from 30 June 2026 to 31 December 2026.
As of the end of March 2026, JHL, which belongs to the promoter group, held a 21.85 % share in JSFB. Although JCL is also within the promoter group, the bank’s disclosed shareholding indicates that JCL currently holds no stake.
TPG Asia VI India Markets Pte Ltd noted in a regulatory filing: ‘As one of the holders of the rated, listed NCDs issued by JHL and JCL, we wish to highlight that, according to the definitive agreements governing these debentures, any funds raised from the sale of JSFB shares owned by JHL—including any transactions already completed—must be used to redeem the NCDs and compensate the NCD holders as stipulated. The appointed debenture trustee will periodically request JHL to execute such sales to fulfil the redemption and repayment obligations.’
In separate filings, JHL and JCL stated that the BSE has given in‑principle clearance for a proposed change to the Debenture Trust Deed that covers their listed NCDs, specifically extending the maturity date from 30 June 2026 to 31 December 2026.
JHL confirmed receipt of the application dated 26 June 2026 requesting in‑principle approval to amend the terms of 36,250 NCDs, each with a face value of ₹1,00,000, listed on the exchange. The in‑principle approval remains valid for three months from the date of this communication.
JCL acknowledged receipt of the same‑date application seeking in‑principle approval to alter the terms of 78,700 NCDs under one scrip code and 54,600 NCDs under another, each carrying a face value of ₹1,00,000 and listed on the exchange.
